Conclusion: SHORT
Conviction medium · base case -36% · downside -50% · upside +14%
The market is still paying 70.0x TTM EBITDA and 80.0x TTM EBIT for a fabless supplier whose operating profit was negative in four of six years and whose TTM net income of $2.64B exceeds TTM EBIT of $1.56B because of non-operating items. Using section 13's TTM-to-Aug-1-2026 base of $1.78B EBITDA, a 45x EV/EBITDA base (top of the optical peer range, not a discount) gives $80.1B EV; less $1.03B net debt ($4.96B debt - $3.93B cash) = $79.1B equity; / 876.90M shares = $90.17, or -36.1% from $141.20. The 35x downside is $69.9 (-50.5%) and the 80x upside is $161.2 (+14.2%), so the short rule is met: base <= -30% and upside <= +25%. Operations are strong (Q2 FY2027 revenue +37% y/y and Q3 guide $3.150B +/-5%), but that is already in the price; the all-stock $115B Lumentum deal adds dilution and a two-year approval overhang. Conviction is medium, not high, because AI demand could keep a premium multiple alive and the upside case is positive.

The 15 boxes
- ✓ 1. Long-form business notes
Marvell is a fabless data infrastructure chip supplier that now reports two end markets: data center and communications and other. FY2026 (ended 2026-01-31) revenue was $8.19B with data center at $6,100.3M, or 74% of the total, versus $2,216.7M / 40% in FY2024, so the mix has swung hard toward AI and cloud infrastructure. FY2026 operating income turned positive at $1.32B after two loss years, but reported net income of $2.67B is not a clean operating number: it includes a $1.8B pre-tax gain on the August 2025 sale of the automotive ethernet business. Since year-end the company has spent cash and stock on Celestial AI (closed 2026-02-02) and XConn (2026-02-10).
- ✓ 2. Competitive advantage
The record through FY2025 does not show a durable advantage: operating income was negative in four of the six years FY2021-FY2026, including -$720.3M in FY2025, and only FY2026 shows real scale profitability ($1.32B operating income, $1.75B operating cash flow, gross profit $4.18B on $8.19B revenue) — one year, not a track record. Management describes an intensely competitive market with continuing selling-price pressure against a long list that includes Nvidia, Broadcom, AMD, Qualcomm and MediaTek, and 82% of fiscal 2026 revenue came from ten customers with two above 10%, which reads as customer power and low switching costs rather than lock-in. What the numbers do support is cash generation (operating cash flow positive every year FY2021-FY2026) and an asset-light model that outsources production, i.e. an execution advantage, not a brand, licence or network moat. Nothing in the sources shows a margin or return-on-capital series that would prove durability.
- ✓ 3. 10-Q takeaways
Q2 FY2027 (quarter ended 2026-08-01) net revenue was $2.7B, up 37% YoY, led by data center +46% on AI demand and communications/other +10%, partly offset by the automotive ethernet divestiture. Gross margin rose to 53.1% from 50.4% and operating income was 16.8% of revenue vs 14.5%. Cash was $3.9B at 2026-08-01, up $1.3B from 2026-01-31; six-month buybacks were $400.0M and $5.1B remained. The excerpt gives no current inventory balance or quantitative revenue/EPS guidance, while customer concentration and China/tariff risks are highlighted.
